In this case, a single shareholder may commence a derivative action to gain the right to sue on behalf of the corporation or in their own name. A derivative action may be brought if the corporation will not bring the lawsuit because the corporation is the party which has suffered harm by another's conduct. To apply for a derivative action, the shareholder cannot have an interest in the same claim. Another example may arise where a director may be gaining a secret commission or is causing the business to contract with another company that the director has an interest in, rather than cause the business to get the cheapest or best services.け
