Manitoba Securities Commission is a branch of the Manitoba Financial Services Agency. It seeks to provide reliable protection and promote competent and fair capital markets in Manitoba. The Commission's structure was set by the Securities Act, 1968. The Commission comprises two branches. The functional or administrative branch consists of full-time staff that runs the daily operations. The policy-making branch is made of a maximum of seven Order in Council appointees who occasionally meet (Commission members). The Commission is responsible for policy formulation and application for exemption or special relief. It also assumes a judicial role when it hears disciplinary proceedings or determines the applications. The administrative arm consists of full-time employees from the provincial government. They manage the daily activities like registrations, prospectuses processing, prospectus preparation, and the referring of matters to the Commissioners. The functional arm comprises two operating divisions, the Real Estate division, and the Securities division. The Securities division has seven operational sections, including investigation, legal, registration and compliance, corporate finance and continuous disclosure, finance, and administration and education/information. The chair presides over meetings, and the Commission members report to the legislative assembly through the Minister of Finance on policy and operational matters. The Chair is also the Chief Executive Officer for the administrative arm.
