Would you consider sharing your business model and intellectual property with other entrepreneurs to give them a clear path to success in the creation of their businesses? That’s the concept of franchising. However, franchising isn't a simple process of selling an opportunity to interested parties. There are legal requirements. In North Carolina, for example, many potential franchisors must register their franchise as a business opportunity with the North Carolina Secretary of State. N.C.G.S. §66-97 mandates this, requiring the franchisor to file two copies of a franchise disclosure statement and pay a $250 registration fee. One exception is franchisors who have secured a federal trademark for the franchise. If the franchisor’s federal trademark is registered with the United States Patent and Trademark Office, they can bypass North Carolina's registration requirement. Another key part of this process is drafting a legally compliant franchise disclosure document. This document contains essential information to educate potential buyers (referred to as “franchisees”) about the franchisor and the business model.
