About this business

Forgione Deal and Corporate Counsel is a boutique corporate law firm built around one idea: be the first call for every client and referral source, no matter the issue. The practice spans corporate law, mergers and acquisitions, secured lending transactions, and commercial deals. On the corporate side, the firm helps businesses get properly structured from day one, including incorporations, shareholder agreements, corporate reorganizations, and ongoing governance, so there are no surprises when the time comes to transact. The firm works with private equity sponsors, institutional lenders, business brokers, and founder-led businesses across the GTA, helping them structure, negotiate, and close transactions that are secure, commercially reasonable, and built to last. Founder Wes Forgione has been referred to as "the corporate quarterback," the lawyer who understands the commercial reality behind every deal, connects clients with the right professionals, and drives transactions from first conversation to close. Whether building a business, acquiring one, financing a deal, or navigating a complex commercial transaction, the firm brings the strategic judgment, transactional depth, and network to get it done.

Frequently asked questions

10 questions
What does Forgione Deal and Corporate Counsel do?
Were a boutique corporate law firm based in Burlington, Ontario, serving clients across the Greater Toronto Area. Our practice is focused on mergers and acquisitions, corporate structuring, secured lending, and commercial transactions. We act as our clients' “Corporate Quarterback,” running point on a deal from the first conversation through to close.
Who do you typically work with?
We work primarily with founder-led businesses, private equity sponsors, institutional lenders, and business brokers. Whether you're an owner preparing to sell, a business owner needing corporate governance or contracts drafted, a sponsor doing a platform or add-on acquisition, or a lender structuring a secured facility, our practice is built around transaction-driven corporate work.
What makes a good business lawyer AKA a “Corporate Quarterback” and how is that different from a typical law firm?
Its how we describe our role on a file: rather than handling one narrow piece of a transaction, we coordinate the full deal. This includes legal structuring, negotiation, financing, and closing mechanics so our clients and their other advisors (accountants, brokers, lenders) have one point of contact driving the process forward. A good business lawyer also has real world business experience and can impart that experience to serve their clients.
Do you help business owners prepare to sell their company?
Yes. We work with owners well before a transaction is signed, helping them understand sale-readiness, address structural or ownership issues that could slow a deal, and position the business for a smoother process once a buyer is at the table.
What kinds of transactions do you handle?
Our core areas are mergers and acquisitions (buy-side and sell-side), corporate structuring and reorganizations, secured lending and financing transactions, and general commercial agreements that support those deals.
Do you only work with clients in Burlington?
No. While were based in Burlington, our practice operates fully remotely and we regularly serve clients throughout the Greater Toronto Area and beyond. Our founder is also called to the bar in both Ontario and British Columbia.
How experienced is the firm's legal team?
Our founder has practiced corporate and M&A law for over a decade, including building a referral-driven corporate practice in Kelowna, BC, before founding this firm. That experience spans deal structuring, financing, and closing transactions across a range of industries and deal sizes.
What should I expect when I first reach out?
A casual, no fee discussion with a business law expert with real world business experience in a genuine and friendly manner. This initial conversation helps us to understand your business, the transaction or issue at hand, and your goals. From there, we outline how we can help, what the process looks like, and next steps. There's no obligation to engage us just to have that first conversation.
How does your firm charge for its services?
Fees depend on the scope and complexity of the matter. A straightforward corporate structuring project is priced differently than a multi-party M&A transaction. We discuss fee structure upfront during the initial consultation so there are no surprises once work begins.
How do I get started or refer a client to your firm?
You can reach out directly to schedule an initial consultation. We also work closely with business brokers, accountants, and lenders as referral partners — if you're an advisor with a client who needs corporate or M&A counsel, we're glad to connect and discuss how we can support the file together.
